Board Meeting Procedures

The Board meeting procedures are the guidelines that govern decision-making, discussions and other aspects of the meeting. They ensure fairness and equity for all attendees and help facilitate meetings.

A chair of the meeting calls the meeting to order with short remarks and decides whether there is quorum present. They also introduce any guests who are present at the meeting, regardless of whether they are from outside the company or have recently joined the board. The meeting is followed by review of the minutes of the previous meeting and an opportunity for any corrections to be made before the minutes are officially accepted.

During this time, reports and other updates from members or committees are shared. They can be in the form or graphs, charts or slides to give context for discussions. This section should be kept as short as you can, and focus on the most important information.

The majority of the meeting is spent having back-and-forth conversations and answering questions. This is a chance to hear the views of the other board members and consider strategies for progress. It is also a good idea to discuss any significant landmarks or areas for improvement from the last meeting.

It is crucial to clearly explain how decisions will be made during the meeting. It is best to do this by consensus, but it should always include a vote process. Whatever the method of decision-making it is essential that everyone knows the process and is aware of the rules that define the hierarchy of various types of motions.
